By accessing or using Prismism ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. We may update these terms from time to time, and your continued use of the Service constitutes acceptance of any changes.

2. Service Description

Prismism is a file-sharing platform that allows users to upload files, generate shareable links, and track engagement analytics. The Service provides an API-first experience designed for developers, AI agents, and teams who need trackable, controllable document sharing.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials, including your password and API keys. You are responsible for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

5. Intellectual Property

You retain full ownership of all content you upload to Prismism. By uploading content, you grant Prismism a limited, non-exclusive license to store, process, and serve your content as necessary to operate the Service. This license terminates when you delete your content or your account.

6. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

7. Payment Terms

Prismism offers a free tier with limited features. Paid plans are billed monthly. All fees are non-refundable; we do not offer partial refunds for unused portions of a billing period. We will provide at least 30 days' notice before any price changes take effect.

8. Service Availability

We strive to maintain high availability but do not guarantee 100% uptime. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. No service-level agreement (SLA) is provided for the free tier.

9. Content Removal

We reserve the right to remove any content that violates these Terms of Service, applicable law, or that we determine in our sole discretion to be harmful, offensive, or otherwise objectionable. We may also remove content in response to valid legal requests or takedown notices.

10. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by law, Prismism shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claims arising from or related to the Service is limited to the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Prismism, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of material changes by posting the updated terms on the Service with a revised effective date. Your continued use of the Service after changes are posted constitutes acceptance of the revised terms.

13. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising from these terms shall be resolved in the state or federal courts located in Delaware.
